Third-Party Terms

Finiato Inc. (dba Corpaxe) (“Corpaxe”) may use or make available certain third-party technology, applications, software, or data in connection with or as part of its Services (or certain features thereof). In some cases, the third-party provider of such technology, applications, software, or data requires that additional terms (“Third-Party Terms”) pass through to the user of the Services (“you” or, as may be used in your Agreement with Corpaxe, “Company” or “Client”). Where applicable to the Services ordered, as determined with reference to the table below, your access to and use of the Services (or the specific Service feature indicated) is subject to and conditioned on your ongoing compliance with the relevant Third-Party Terms, in addition to all other applicable terms of your Agreement with Corpaxe:

Concierge	Anthropic	Where Anthropic is leveraged as the underlying Third-Party AI Provider, these Third-Party Terms will apply to your access to and use of the Concierge Service feature: the Anthropic Usage Policy (located at https://www.anthropic.com/legal/aup); and the Anthropic Supported Regions Policy (located at https://www.anthropic.com/supported-countries). To the extent any of your data, including personal data, is processed by Anthropic in connection with your use of the Concierge Service feature, Anthropic does so as a further sub-processor, subject to the terms of the Anthropic Data Processing Addendum (located here https://www.anthropic.com/legal/data-processing-addendum).
Concierge	Microsoft / Azure OpenAI	Where Microsoft is leveraged as the underlying Third-Party AI Provider, these Third-Party Terms will apply to your access to and use of the Concierge Service feature: the following specific sections of the Microsoft Universal License Terms, located at https://www.microsoft.com/licensing/terms/en-US/product/ForOnlineServices/MCA: (i) Acceptable Use Policy; (ii) Responsible Use of Microsoft AI Services; (iii) High-Risk Use; and (iv) Microsoft Generative AI Services; and the Microsoft Enterprise AI Services Code of Conduct (located at https://learn.microsoft.com/en-us/legal/ai-code-of-conduct). To the extent any of your data, including personal data, is processed by Microsoft in connection with your use of the Concierge Service feature, Microsoft does so as a further sub-processor, subject to the terms of the Microsoft DPA (located here https://www.microsoft.com/licensing/docs/view/Microsoft-Products-and-Services-Data-Protection-Addendum-DPA).

Notwithstanding anything to the contrary in your Agreement, Third-Party Terms are subject to change at the discretion of the relevant third-party provider. Your continued access to or use of the Services (or the specific Service feature indicated) constitutes your agreement to be bound by the then-current Third-Party Terms, which are expressly incorporated into your Agreement.

Applicable Third-Party Terms will be considered supplemental to all other terms of your Agreement. In the event of any conflict between the Third-Party Terms and any other terms of your Agreement, the Third-Party Terms will govern with respect to your access to and use of the relevant third-party technology, applications, software, or data in connection with (or as part of) the indicated Services. For the avoidance of doubt, the absence of a restriction, condition, or obligation in the Third-Party Terms will not be interpreted to conflict with any express restriction, condition, or obligation generally applicable to your use of the Services (or relevant Service feature), as set out in the other terms of your Agreement.

Corpaxe may add to or modify the table above (including the removal or replacement of any third-party provider and associated technology, applications, software, or data) from time to time by publishing an updated version, provided that this paragraph is not intended to override or replace any other terms of your Agreement governing service updates, enhancements, or modifications.
